Terms of Service

By creating an account, making a purchase, or otherwise using PersonaOS, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. In such cases, “you” and “your” will refer to both you individually and the organization.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the “Last updated” date. Your continued use of the Service after such modifications constitutes your acceptance of the revised Terms.

PersonaOS is an identity infrastructure platform designed to help users develop, lock, and maintain consistent personal positioning. The Service includes, but is not limited to:

• Recognition Score assessment and analysis
• Position Lock feature for 30-day positioning commitment
• Bio Forge for generating platform-optimized biographies
• Angle Engine for content angle generation (subscription feature)
• Drift Detection for monitoring positioning consistency (subscription feature)
• Dashboard and analytics features

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

To access certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your login credentials confidential and secure
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breach

You must be at least 18 years old to create an account and use the Service. By creating an account, you represent and warrant that you meet this age requirement.

We reserve the right to suspend or terminate your account at any time for any reason, including if we reasonably believe you have violated these Terms.

4.1 Pricing

PersonaOS offers both one-time purchases and subscription-based services. Current pricing is displayed on our website and may be updated from time to time. All prices are in US dollars unless otherwise specified.

4.2 One-Time Purchases

The Position Lock feature is available as a one-time purchase. Once purchased, you will have permanent access to the Position Lock feature and associated tools (such as Bio Forge) for your account.

4.3 Subscriptions

The Angle Engine subscription provides access to premium features on a recurring monthly basis. Subscriptions automatically renew unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings.

4.4 Payment Processing

Payments are processed through third-party payment processors (such as Stripe, Paddle, or LemonSqueezy). By making a purchase, you agree to the terms and conditions of the applicable payment processor. We do not store your complete payment information on our servers.

4.5 Refund Policy

We offer a 14-day refund policy on all purchases. If you are not satisfied with the Service for any reason, you may request a full refund within 14 days of your purchase by contacting us at hello@personaos.xyz.

The Position Lock feature is a core component of PersonaOS designed to enforce positioning commitment. By using Position Lock, you understand and agree that:

• Once locked, your positioning statement, enemy belief, and content pillars cannot be modified for 30 days
• The lock period is intentionally restrictive and cannot be overridden, shortened, or bypassed
• We will not unlock your position early for any reason, including change of mind, business pivots, or other circumstances
• You are solely responsible for the content of your positioning statement and ensuring it accurately represents your intended position

The constraint is the feature. By purchasing Position Lock, you are explicitly opting into this commitment mechanism.

6.1 Your Content

You retain ownership of any content you submit to the Service, including your positioning statements, bios, and other materials (“User Content”). By submitting User Content, you grant PersonaOS a non-exclusive, worldwide, royalty-free license to use, store, and process your content solely for the purpose of providing the Service.

6.2 Content Standards

You agree not to submit User Content that:

• Is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Infringes any patent, trademark, copyright, or other proprietary rights
• Contains software viruses or malicious code
• Impersonates any person or entity or misrepresents your affiliation
• Violates any applicable local, state, national, or international law

6.3 Prohibited Uses

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated systems to access the Service without permission
• Resell or redistribute the Service without authorization

The Service, including its original content, features, functionality, and underlying technology, is owned by PersonaOS and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

The PersonaOS name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of PersonaOS. You may not use such marks without our prior written permission.

Nothing in these Terms grants you any right, title, or interest in the Service or any intellectual property rights, except for the limited license to use the Service in accordance with these Terms.

The Service may integrate with or allow you to connect to third-party services, including but not limited to:

• Social media platforms (e.g., X/Twitter, LinkedIn)
• Payment processors (e.g., Stripe, Paddle, LemonSqueezy)
• Authentication providers
• AI and language model services

Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for the content, policies, or practices of any third-party services. You acknowledge that PersonaOS shall not be liable for any damage or loss caused by your use of third-party services.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

PersonaOS does not warrant that: (a) the Service will function uninterrupted, secure, or error-free; (b) the results obtained from using the Service will be accurate or reliable; (c) any errors in the Service will be corrected.

The Recognition Score, positioning recommendations, and other outputs generated by the Service are provided for informational purposes only. PersonaOS does not guarantee any specific outcomes, results, or success from using the Service. Your results depend on many factors outside our control.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PERSONAOS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall our total liability exceed the greater of: (a) the amount you paid to PersonaOS in the twelve (12) months preceding the claim; or (b) one hundred US dollars ($100).

You agree to defend, indemnify, and hold harmless PersonaOS and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your User Content
• Your use of the Service
• Your violation of any rights of another party

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so by contacting us or through your account settings.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action.

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and PersonaOS regarding the Service and supersede all prior agreements.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Force Majeure: We shall not be liable for any failure to perform due to causes beyond our reasonable control.
